Mr. Scholer is a member of Simmons Perrine Moyer Bergman PLC and played a key role in the negotiations and merger of Simmons Perrine, PLC and Moyer & Bergman, PLC. Mr. Scholer is active in the firm's management, serving terms on the firm's executive committee and as Chair of its Business and Tax Department.
Mr. Scholer is involved in the community having served on boards and committees associated with the American Heart Association, Chamber of Commerce, YMCA, All Saints Church and various schools. Mr. Scholer is also active in youth sports having coached for approximately 15 years and served on boards and committees and as legal counsel for youth sports organizations.
Mr. Scholer is in general practice including but not limited to business law, mergers and acquisitions, estate and wealth transfer planning, pension, profit sharing and employee benefits, municipal law, and land use and regulation.
Commercial Transactions Business Counseling. Mr. Scholer counsels businesses of all sizes and their owners regarding entity organization, operation, governance and reorganization. He also assists with business transactions and the retention of key employees. Mr. Scholer has experience negotiating and finalizing agreements amongst owners of a business, and dividing businesses amongst owners who no longer desire to do business together.
Mergers & Acquisitions. Mr. Scholer has been designated by Chambers USA as one of America's Leading Lawyers for Business in the Mergers and Acquisitions practice area. Mr. Scholer has handled mergers, acquisitions, divestitures and reorganizations for his clients in a wide range of industries. His involvement in these transactions includes negotiating the transaction, due diligence investigation, document drafting and finalization, coordination of the closing and addressing post closing issues and liabilities.
Wealth Transfer, Trusts and Estates. Mr. Scholer assists his clients in the areas of wealth preservation, estate and tax planning and succession planning for closely held businesses. These services involve the coordination of the client's distribution and transfer desires with relevant tax and administrative laws.
Pension, Profit Sharing and Employee Benefits. Mr. Scholer assists with the retention of key employees by designing and implementing phantom stock, bonus and deferred compensation arrangements. He also is involved with the implementation, administration and termination of tax qualified retirement benefit plans.
Municipal Law. Mr. Scholer serves as the City Attorney for several cities, providing advice on the issues and operations that face city councils, administrative boards and commissions.
Real Estate. Mr. Scholer represents clients with land use and regulation issues, such as annexation, zoning, subdivision and building code issues.

Randy Scholer will serve as Co-Chair of the 2009 Xavier Foundation Business Appeal. Xavier High School is recognized state wide and nationally for excellence in academics, fine arts and athletics. The purpose of the Business Appeal is to provide funding for: academic programs and activities; need-based scholarship program; and building debt. Randy has assisted with the Business Appeal for a number of years.
